Payvand Website Terms & Conditions
1. Parties
- a) The “Company” means Payvand Medical Hygiene Supplies Ltd.
- b) The “Customer” means the person, firm or company buying goods from the Company to whom the goods are to be invoiced (unless the context otherwise requires) and any person to whom or for the benefit of whom the goods may be delivered.
- c) The “Goods” means the goods described on our invoice.
2. Orders
- a) UK orders over £100.00 will have Free Delivery.
- b) UK orders below £100.00 (excluding VAT and net discounts) will incur a £4.95 delivery charge.
- c) All orders are to be forwarded to the address shown below.
- d) VAT Exemption – Buyers who qualify for exemption from paying VAT should include a valid VAT exemption certificate (or other documentation approved by HM Customs & Excise for the purpose) with each order.
3. Specification
Every effort is made to ensure our catalogue descriptions and illustrations are clear and accurate. All colours and sizes are approximate. The reproduction of colours is as accurate as photographic and printing processes allow. Due to our continual improvement some products may vary from those described. The Company reserves the right to amend specification, construction and/or design without prior notice.
4. Prices
- a) All prices quoted are exclusive of VAT.
5. Delivery / Handling Charges
- a) Unless the Company otherwise agrees, delivery shall be made to the delivery point specified in the Order.
- b) Stated delivery times are no more than an estimate on the part of the Company and shall not be binding upon the Company, which shall not be liable for any costs or damage caused by reason of any delay in delivery.
- c) The Company reserves the right to make delivery by instalments and to tender a separate invoice in respect of each instalment.
6. Damage or Loss in Transit
No claim for damage in transit, shortage of delivery, loss or destruction of goods shall be entertained unless the customer gives written notice to both the carrier concerned and to the Company:
- a) In the case of damage in transit or shortage of delivery, within 5 days of receipt of the Goods, followed by a detailed complete claim in writing within 7 days of said first notification; or
- b) In the case of loss or destruction of the goods, within 5 days of advice by the Company and receipt of the invoice relating to such goods.
7. Passing of Title
The legal title of Goods shall not pass to the Customer until all sums due or payable by the Customer to the Company whether in respect of the Goods or otherwise shall have been received by the Company.
8. Force Majeure
The Company shall not be liable for any loss or damage caused by circumstances beyond the Company’s control including but not limited to an Act of God, war, civil disturbance, governmental restrictions, import or export regulations industrial disputes and difficulties in obtaining labour or materials. Should any such event occur the Company might cancel or suspend this contract without incurring liability for any loss or damage.
9. Return or Replacement of Goods
- a) No goods shall be accepted back by the Company unless prior written approval has been given.
- b) The Company reserves the right to charge at its sole discretion a fee with respect to any goods returned back.
- c) If within 12 months after delivery of goods by the Company, the customer shall discover any defect in the goods arising under proper use from faulty design, materials, or workmanship, the customer give written notice to the Company. Upon satisfied by examination the Company will make good such defect by replacement or repair.
10. Disputes; Governing Law
Any dispute or difference between the parties concerning these Conditions, their construction or effect or the rights, duties or liabilities of the parties in any way connected with or arising out of or in relation to the subject matter of these Conditions, shall be determined by legal action instituted by either party in the appropriate courts of England / Wales or Scotland. Any contract to which these Conditions apply shall be construed in all respects in accordance with English / Scottish Law with the exception that the terms and conditions of the UN Convention on Contracts for the International Sale of Goods shall not be applicable hereto.
